Directors and Officers
Insurance
Directors and Officers liability insurance, commonly called D&O
coverage is a type of policy that has seen increased popularity in
the past decade. Once found primarily in the board rooms of
large corporations, the coverage is now sought out by smaller
companies and a large number of small, non-profit
organizations.
Board members of a corporation can be held personally liable for
the decisions they make while serving on the board. Individuals
chosen to serve on the boards of large corporations have long
demanded that the company provide the board with D&O
protection so that their personal assets would not be at risk.
For small non-profit corporations, it has often been thought of as
a community service to agree to serve on a board of directors.
Many business people and citizens feel it is an obligation to
provide service to organizations like their Chamber of
Commerce, local arts organizations or community service
groups. Unfortunately, as litigation has become more and more
common in our country, individuals have become understandably
reluctant to place their personal assets at risk in order to engage
in community service.
As more and more people have become aware of this risk, it is
common for them to refuse to serve on the board of a non-profit
corporation unless that organization provides D&O coverage for
their board. Fortunately, the D&O policies are affordable for most
small companies and non-profits. Nowadays, many of the
insurance companies offer options to include Employment
Practices Liability and Fiduciary Liability among others.
